A major event in commercial aerospace: Rocket Lab
announced an $80 billion acquisition
of Iridium Communications.
1. Key terms of the deal.
Valuation and form. Rocket Lab and Iridium have reached an agreement. The acquisition will be conducted using a combination of cash and stock. The enterprise value of this deal is approximately $80 billion.
- Per share consideration. Iridium shareholders will receive $27 in cash per share. Additionally, they will receive corresponding Rocket Lab stock. The total value per share is $54. However, there are restrictions on the share exchange ratio.
- Closing timeline. The deal is expected to be fully completed by mid-2027. It still requires approval from shareholders and regulatory bodies.
2. Market reaction. Strategic synergy.
- Creating a vertically integrated giant. Rocket Lab has now integrated the entire industry chain of rocket launches, satellite manufacturing, and satellite communications. In the future, when deploying its own constellation, it will no longer need to pay third parties for launches.
- Direct acquisition of core assets and market. In one move, it has acquired Iridium's L-band spectrum, its global satellite network, and 2.55 million active subscribers. This allows immediate entry into fields like satellite IoT, device-to-device (D2D) communication, and defense/security communications.
- Financial infusion. Iridium's 2025 revenue was $871.7 million, with an OEBITDA margin as high as 57%, amounting to $495 million. This stable cash flow will provide timely financial support for Rocket Lab's subsequent R&D and expansion.
3. Funding sources.
- Rocket Lab has secured a $3.6 billion senior secured bridge loan commitment from Deutsche Bank and Wells Fargo. The remaining cash portion is planned to be covered by its on-hand cash (approximately $1.205 billion at the end of Q1), plus some new debt and equity financing.
4. Market reaction.
- Upon the announcement, both stocks surged in pre-market trading. RKLB rose sharply by 7.06%, reaching $90.55. IRDM soared even more, up 20.63%, reaching $52.505.
