$50 Billion Investment Completed: Amazon Holds 5% Stake in OpenAI, Having Previously Invested in Anthropic
Amazon has completed its full $50 billion investment in OpenAI, acquiring an approximately 5% stake. Additionally, Amazon has committed up to $33 billion in investment to Anthropic, aiming to drive the penetration of its self-developed Trainium chips and consolidate AWS's market position
Amazon has completed its full $50 billion investment in OpenAI, acquiring an approximately 5% stake and becoming one of the most important external shareholders of this artificial intelligence company.
According to a report by the Financial Times on August 1, OpenAI received the final tranche of investment funds this week. This development means that Amazon chose to disburse all committed capital early, even though neither of the two trigger conditions—originally including OpenAI completing a public listing or achieving a major AI technological breakthrough—was met, injecting ample ammunition into the loss-making startup.
The direct background to the completion of this investment is that in April this year, OpenAI and Microsoft completed renegotiations on their cloud services contract, clearing the way for other cloud service providers such as AWS to formally provide services to OpenAI. According to insiders, it was only after the renegotiation of this contract was finalized that Amazon finally agreed to invest the full amount. Previously, the Financial Times reported that Microsoft had considered taking legal action regarding the potential breach of contract constituted by the cooperation agreement between Amazon and OpenAI.
Phased Capital Contribution, Full $50 Billion Disbursed
According to financial disclosure documents released by Amazon on Friday, the $50 billion investment was completed in two stages. In February this year, as part of a broader commercial partnership, Amazon initially invested $15 billion in OpenAI; simultaneously, it committed to an additional $35 billion if specific milestones were achieved. However, none of the aforementioned milestones were realized, yet Amazon ultimately chose to complete the entire investment, raising its shareholding to approximately 5%.
Following the completion of the investment, the relationship between Amazon and OpenAI is no longer limited to a purely financial tie but encompasses commercial agreements across multiple levels, including chip supply, computing power resources, and cloud services. This will also help OpenAI secure more abundant funding support for training new generations of AI models—a process with extremely high costs, regarded as a core element in maintaining competitiveness against Anthropic, Google, and Chinese rivals.
Currently, OpenAI's valuation is approximately $852 billion, making the value of Amazon's roughly 5% stake quite substantial. Amazon declined to comment on the shareholding percentage.
Amazon Simultaneously Deepens Engagement with Anthropic
Amazon's layout in the AI field does not stop at OpenAI. Financial disclosure documents also show that Amazon has committed to investing up to $33 billion in Anthropic, OpenAI's main competitor, with $18 billion already disbursed.
Amazon is leveraging the two leading AI labs, OpenAI and Anthropic, to promote the market penetration of its self-developed Trainium chips. Trainium is Amazon's core hardware product for countering NVIDIA's market dominance and Google's TPUs. At the same time, Amazon is committed to ensuring that models from both AI labs are available for invocation by its cloud customers, thereby consolidating AWS's competitive advantage in the AI services market.
Microsoft Contract Renegotiation Paves the Way for Investment
The realization of this investment largely depended on the redefinition of the contractual relationship between OpenAI and Microsoft. According to insiders, the contract renegotiation in April this year broke Microsoft's previous near-exclusive control over OpenAI's cloud services, allowing AWS to formally provide cloud computing services to OpenAI.
Prior to this, the situation was highly tense. As previously reported by the Financial Times, Microsoft had internally discussed the possibility of taking legal action regarding the potential violation of relevant contract clauses by the cooperation between OpenAI and Amazon. With the completion of the contract renegotiation, this obstacle was removed, and Amazon subsequently finalized the decision to make the full investment.
This change in contract marks a significant shift in OpenAI's cloud services strategy—moving from reliance on a single partner towards a multi-cloud deployment. This is also a structural change worth noting for the long-term, deeply bound cooperative relationship between Microsoft and OpenAI.
