Answer: This is a routine law enforcement action carried out by the State Administration for Market Regulation based on the Anti-Monopoly Law. In May 2023, Qualcomm announced its acquisition of Autotalks. After receiving a report, our bureau conducted a comprehensive assessment of the concentration, concluding that although it did not meet the reporting standards, there was evidence indicating that it had or could have the effect of excluding or restricting competition. On March 12, 2024, our bureau formally notified Qualcomm in writing, requesting it to report the transaction in accordance with Article 26 of the Anti-Monopoly Law, stating that the concentration should not be implemented before reporting or obtaining approval. On March 14, 2024, Qualcomm sent a letter to our bureau indicating that it would abandon the transaction. In June 2025, Qualcomm completed the acquisition of Autotalks without reporting or communicating with our bureau. After receiving a report, our bureau verified the facts, and Qualcomm also acknowledged the relevant facts. Based on clear facts and solid evidence, our bureau has legally initiated an investigation into Qualcomm's illegal implementation of the operator concentration concerning the acquisition of Autotalks.
